1. About these terms

These terms govern your use of Kedova, an AI marketing service provided by Korevra Technologies Limited (RC 9471172), a company incorporated in Nigeria with its office at 12B Sule Abore Street, Ojodu, Lagos State 101233, Nigeria (“Korevra”, “we”, “us”).

By creating an account, starting a trial or using Kedova, you agree to these terms on behalf of yourself and, if you use Kedova for an organisation, on behalf of that organisation (“you”). If you do not agree, do not use Kedova. Kedova is a business service: you confirm you are using it for your trade, business, craft or profession.

The privacy policy, the data processing agreement, the acceptable use policy and the plan and pricing information on our pricing page form part of these terms.

2. Your account

  • You must be at least 18 years old and able to enter into a binding contract.
  • Give accurate information and keep it up to date, including billing and contact details.
  • Keep your sign-in credentials secure. You are responsible for activity in your account and workspaces, including by people you invite. Tell us promptly at hello@korevra.com if you suspect unauthorised access.
  • If you are an agency, you are responsible for the client workspaces you create and for the users you invite to them, including client users, and you confirm you have your clients’ authority to act for them.

3. The service

Kedova uses artificial intelligence to help you plan, write, design, check and publish marketing content and to report on it. Its features, limits and included credits depend on your plan. We may improve, change or retire features from time to time; if a change materially reduces a paid feature you rely on, we will tell you in advance and, where appropriate, let you cancel and receive a pro-rata refund of prepaid fees for the unused period.

Some features may be labelled beta or preview. They are provided for evaluation, may change or be withdrawn, and are excluded from any service level commitment.

4. Your content and outputs

Ownership

You keep all rights in the material you provide to Kedova — your website content, documents, brand assets, contacts and instructions (“Your Content”). As between you and us, you own the drafts, creatives and other material Kedova generates for you (“Outputs”), subject to the rights of third parties in any material you supplied.

Licence to us

You grant Korevra a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Your Content and Outputs only as needed to provide, secure and support Kedova for you, and to comply with law. We do not use Your Content to train AI models for other customers.

Your responsibility

AI-generated material can be inaccurate, incomplete or similar to material produced for others. Kedova is designed to source claims to your documents and to check drafts before you see them, but you are responsible for reviewing Outputs and for everything you approve or set to publish, including their accuracy, legality and compliance with advertising rules and platform terms. You confirm you have the rights and permissions needed for Your Content, including images, trademarks and personal data.

Kedova does not guarantee any particular marketing result, such as reach, engagement, leads or sales.

5. Approvals and publishing

  • Review mode is the default for every channel: nothing is published until an authorised user approves it.
  • If you switch a channel to Autopilot, you instruct Kedova to publish drafts that pass its checks without individual approval. You can switch Autopilot off at any time. Kedova may return a channel to Review mode, for example when it detects a spike in negative responses.
  • For platforms without a publishing interface we may use (Manual-assist), Kedova prepares a ready-to-post pack and you publish it yourself.
  • Publishing depends on third-party platforms. We are not responsible for a platform’s outages, rate limits, rejections, policy changes or removal of content.

6. Connected accounts and third-party services

When you connect a social, messaging, email or other account, you authorise Kedova to access and act on that account as needed to provide the service. You must comply with each platform’s terms and policies, and you remain responsible for your accounts. You can disconnect an account at any time. Your use of a third-party service is governed by that provider’s terms, not ours.

7. Acceptable use

You must follow the acceptable use policy. In particular, you must not use Kedova for spam or unsolicited messaging, political disinformation, impersonation, deceptive health or financial claims, harassment, or anything unlawful. Kedova’s checks may hold or decline content that appears to breach the policy.

8. Personal data

Our privacy policy explains how Korevra handles personal data about you and your users as a data controller. For personal data about your audience — for example your contacts, subscribers, followers and people who message you — you are the data controller and Korevra processes it on your behalf under the data processing agreement. You are responsible for having a lawful basis, including consent where required, for the personal data you bring into Kedova and for the messages you send.

9. Plans, trials, credits and payment

  • Prices. Plan prices are shown on our pricing page in naira and US dollars. Naira prices exclude value added tax, which is added at the applicable rate (currently 7.5%) at checkout. You are responsible for other taxes that apply to your purchase.
  • Billing. Subscriptions are billed in advance, monthly or annually, through our payment processors (currently Flutterwave and Paystack). Annual plans are billed at ten times the monthly price. Agency add-ons, such as extra client workspaces, are billed with your plan.
  • Trials. Where a plan offers a free trial, no payment card is required. When the trial ends you must choose a paid plan to keep generating content.
  • Credits. Each plan includes a monthly allowance of credits, consumed by actions such as generating content, creatives, images and plans. When your allowance is used up, generation pauses and you may buy a top-up pack; we do not charge overage automatically. Publishing content you have already approved does not use credits. Credit costs are shown in the app and may change with notice.
  • Price changes. We may change prices with at least 30 days’ notice. Changes take effect from your next billing period.
  • Late payment. If a payment fails, we may pause generation and publishing until it is resolved.
  • Advertising spend. Kedova does not hold, pay or resell advertising spend. Ad spend is billed by the advertising platform to your own ad account.

10. Cancellation, suspension and termination

  • You may cancel at any time from Billing & usage. Your plan continues until the end of the period you have paid for and is not renewed. Except where the law requires otherwise or these terms say so, fees already paid are not refundable.
  • We may suspend or terminate your access if you materially breach these terms or the acceptable use policy, if payment is overdue, or if we must do so to comply with law or to protect Kedova, other customers or the public. Where reasonable, we will give notice and a chance to fix the problem first.
  • When your subscription ends, your data stays readable for 30 days so you can export it, and is then deleted, apart from records we must keep by law. Sections 4, 8, 11 to 15, 17 and 18 survive termination.

11. Confidentiality

Each party will keep the other’s non-public information confidential, use it only for the purposes of these terms, and protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or that must be disclosed by law (in which case the disclosing party will be notified where lawful).

12. Our intellectual property

Korevra owns Kedova, including its software, design, templates, models of work and the Kedova and Korevra names and marks. These terms give you a limited, non-exclusive, non-transferable right to use Kedova during your subscription. You must not copy, resell, reverse-engineer or create derivative services from Kedova, except where the law expressly allows. If you send us feedback, we may use it without obligation to you.

13. Disclaimers

We will provide Kedova with reasonable skill and care. Otherwise, to the extent the law allows, Kedova is provided “as is” and “as available”, and we do not warrant that it will be uninterrupted or error-free, that Outputs will be accurate or fit for a particular purpose, or that any platform will accept or keep content published through it.

14. Limitation of liability

To the extent the law allows: (a) neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, arising from these terms; and (b) each party’s total liability arising from these terms in any 12-month period is limited to the fees you paid for Kedova in that period. These limits do not apply to your payment obligations, your indemnity in section 15, or liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

15. Indemnity

You will indemnify Korevra against third-party claims, and related losses and reasonable costs, arising from Your Content, content you approve or set to publish, your breach of the acceptable use policy, or your processing of personal data without a lawful basis.

16. Changes to these terms

We may update these terms. If a change is material, we will give at least 30 days’ notice by email or in the app before it takes effect. If you do not agree, you may cancel before the change takes effect; continuing to use Kedova after that date means you accept the updated terms.

17. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute through good-faith negotiation for 30 days. If that fails, either party may refer the dispute to mediation at the Lagos Multi-Door Courthouse. If mediation does not resolve it within 60 days, the courts of Lagos State have jurisdiction. Nothing here prevents either party from seeking urgent injunctive relief.

18. General

  • Entire agreement. These terms, with the documents they refer to and any signed order form, are the whole agreement between us about Kedova. A signed Enterprise agreement prevails over these terms where they conflict.
  • Assignment. You may not transfer your rights under these terms without our consent. We may transfer them to a successor in a merger, acquisition or reorganisation, with notice to you.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including power or network failures, platform outages, strikes, civil disturbance or acts of government.
  • Notices. We send notices to the email address on your account. You send notices to hello@korevra.com or to our office address.
  • Severability and waiver. If any part of these terms is unenforceable, the rest remains in force. Failing to enforce a right is not a waiver of it.
